Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At the 2024 Annual Meeting of Shareholders of C.H. Robinson Worldwide, Inc. (the “Company”) on May 9, 2024, Michael H. McGarry and Paige K. Robbins were elected as directors of the Company. At that time, the Board of Directors had not made a determination regarding any committee assignments for Mr. McGarry and Ms. Robbins. On August 8, 2024, the Board of Directors appointed Mr. McGarry to serve on the Talent & Compensation Committee and the Governance Committee and Ms. Robbins to serve on the Audit Committee, effective immediately.
