Explanation of Responses:

1. On June 27,2024, American Software Inc. ("the Company") filed two Forms 4 on behalf of James B. Miller, Jr. (the "Reporting Person"). Due to technical issues, the Forms 4 filed on June 27,2024 were filed in the incorrect order. As a result, the Reporting Person's reported direct ownership of common stock for both Forms 4 filed on June 27, 2024 was inaccurately reported. This Form 4 is filed to report the transaction described in Table I, which was inadvertently omitted from the June 27, 2024 Forms 4, to correct the order of the Forms 4 filed on June 27, 2024 and reflect the Reporting Person's correct direct ownership of 416,151 shares of common stock directly owned following the transactions occurring on such dates, which amount reflects the transaction described in Table I above, as well as correcting certain other computational errors.
