                                  Board Change



As previously announced with the Group's interim results in November 2003, David
Dugdale who has been Non- Executive Chairman since 1993 retired from the Board
on 31 December 2003.

He has been succeeded by Anthony Allen, who joined the Group in January 2003 as
a Non-Executive Director. Anthony brings extensive corporate experience to the
Group gained during a 35 year career with N M Rothschild & Son Limited. He is
also a Non-Executive Director at Mersey Docks and Harbour Company PLC.

Following this change, the Group will also be seeking to appoint a further
independent Non-Executive Director to the Main Board.
