Item 2.02. Results of Operations and Financial Condition.

On May 8, 2019 , Core-Mark Holding Company, Inc. (the “Company”) issued a press release announcing its results of operations for the three months ended March 31, 2019 . The text of the press release issued by the Company is furnished as Exhibit 99.1 to this report.

Item 8.01. Other Events.

The Company’s May 8, 2019 press release also announced that its Board of Directors has approved a $0.11 cash dividend per share. The dividend is payable on June 14, 2019 to stockholders of record as of the close of business on May 23, 2019 .
