NOTICE IS HEREBY GIVEN to the holders of the above Notes that, pursuant to the
Extraordinary Resolution of the Noteholders passed at a meeting of the
Noteholders held on 26 May 2001, the Security Agent has executed a certificate
dated 29 June 2001 to the effect that the conditions precedent set out in
Schedule 7 to the Inter-Creditor Agreement have been satisfied and that the
Inter-Creditor Agreement has been signed by the Representative (as defined in
paragraph (5) of the Extraordinary Resolution dated 26 May 2001) and therefore
the Restated Conditions have taken effect as of 29 June 2001.
