filing of its restated financial results for fiscal years 2022 and
2023.

Restated Fiscal Year 2023 and 2022
Financial Results
Sales increased 31.3% to approximately $76.0
million for the year ended December 31, 2023, from approximately
$57.9 million for the year ended December 31, 2022. The increase
was primarily due to higher spending from existing clients as well
as business from new customers. Additionally, the acquisitions of
the assets of G.A.P. Promotions in January 2022, Trend Brand
Solutions in August 2022, Premier NYC in December 2022, and T R
Miller in June 2023 accounted for approximately $15.1 million, or
19.9%, of sales for 2023, compared to approximately $6.8 million,
or 11.7%, of sales for 2022.
Gross profit increased 61.5% to approximately
$24.9 million, or 32.7% of sales, for the year ended December 31,
2023, from approximately $15.4 million, or 26.6% of sales, for the
year ended December 31, 2022. The increase in the dollar amount of
gross profit was due to an increase in sales of approximately $18.1
million, partially offset by an increase in cost of sales of
approximately $8.7 million. The increase in gross profit margin to
32.7% for the year ended December 31, 2023 compared to 26.6% for
the year ended December 31, 2022, was primarily due to larger
margins recognized on certain customer orders in excess of 40.0%,
efficiencies gained in the sales process, and large write downs of
inventory during the year ended December 31, 2022.
Net loss for the year ended December 31, 2023
was approximately $0.4 million, compared to approximately $3.5
million for the year ended December 31, 2022. This change was
primarily due to the increase in sales during 2023 generated from
the acquisition of the assets of G.A.P. Promotions, Trend Brand
Solutions, Premier NYC, and T R Miller to approximately $15.1
million in aggregate, from approximately $6.8 million generated
from the acquisition of the assets of G.A.P. Promotions, Trend
Brand Solutions, and Premier NYC during 2022, and the increase of
approximately $9.8 million from recurring organic sales during 2023
compared to 2022. These factors were partially offset by an
increase in operating expenses and an increase in purchasing
costs.
