F&C Private Equity Trust plc (the 'Company') - Voting Rights and Capital

In conformity with the Disclosure and Transparency Rules provision 5.6.1, the
Company notifies the market of the following:

As at the date of this announcement, as a result of the drop in the NAV per A
share below 10 pence per share as announced in the Company's final results on 14
April 2008, holders of A shares of 1p each in the Company no longer have the
right to receive notice of, attend and vote at general meetings of the Company.
The 72,282,273 B shares of 1p each in the Company retain their voting rights,
and the total number of voting rights in the Company is therefore 72,282,273
(the Voting Rights Figure), being the voting rights attached to B shares only.

As at the date of this announcement, no shares are held in treasury by the
Company.

The Voting Rights Figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
voting rights interest, or a change to that interest, in the Company under the
FSA's Disclosure and Transparency Rules.
