                             Director Shareholding


The Company was informed on 8 May 2002 that on 8 May 2002, Nigel Wray and
Sylvester Stein, both Directors of the Company, bought 382,000 and 125,000
ordinary shares in the Company respectively, at 3.875p per share. As a result,
Nigel Wray now holds 9,453,440 ordinary shares, representing approximately 12.27
per cent. of the issued share capital of the Company and Sylvester Stein now
holds 10,227,870 ordinary shares, representing approximately 13.28 per cent. of
the issued share capital of the Company.
