                             Director Shareholding



The Company was informed on 4 March 2002 that on 4 March 2002, Nigel Wray and
Sylvester Stein, both Directors of the Company, bought 500,000 and 460,000
ordinary shares in the Company respectively, at 3.5p per share. As a result,
Nigel Wray now holds 9,071,440 ordinary shares, representing approximately 11.78
per cent. of the issued share capital of the Company and Sylvester Stein now
holds 10,102,870 ordinary shares, representing approximately 13.12 per cent. of
the issued share capital of the Company.

The Company was also informed on 4 March 2002 that on 4 March 2002, Owen
Anderson sold 1,100,000 ordinary shares in the Company at 3.5p per share. As a
result, Owen Anderson now holds 5,635,725 ordinary shares, representing
approximately 7.32 per cent. of the issued share capital of the Company.
