Centrica plc announces that on Wednesday, 31 July 2024 it purchased (through BNP Paribas Financial Markets S.N.C.) 2,079,075 Centrica plc ordinary shares of 6 ¹⁴/₈₁ pence each at a price of 133.2803 pence per share. The purchased shares will be held as treasury shares. Such purchase was effected pursuant to the Company's buyback programme announced on 10 October 2023 and in accordance with the non-discretionary share repurchase agreement entered into with BNP Paribas Financial, as announced on 4 March 2024.

Since 10 October 2023, Centrica has purchased 324,376,803 ordinary shares at a cost (excluding dealing and associated costs) of £449,999,874.55.

Following the above purchase, Centrica plc holds 559,696,139 ordinary shares in treasury, and has 5,223,484,510 ordinary shares in issue (excluding treasury shares).

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation) (as in force in the UK and as amended by the Market Abuse (Amendment) (EU Exit) Regulations 2019), detailed information about the individual purchases made by BNP Paribas Financial is set out below.

Completion of Share Buyback Programme

The Company announces that, following the purchase of these shares, the Second Tranche of the 2023-2024 Programme of share repurchases announced on 4 March 2024, as defined therein, has completed. Under the Second Tranche of the 2023-2024 Programme, the Company repurchased 186,389,976 ordinary shares in aggregate at an average execution price of £1.3413 pence per ordinary share for a total consideration (excluding dealing and associated costs) of approximately £249,999,996.64. On 25 July 2024 the Company announced a £200m extension to the Company's share repurchase programme. Further details regarding the repurchase of this additional £200 million of ordinary shares will be announced shortly.
