                                     NOTICE

                         to the holders of those of the
      #85,000,000 3.75 per cent. Retail Price Index-Linked Bonds due 2025
                                 of the Issuer
                             presently outstanding
                (the "Bondholders" and the "Bonds" respectively)

NOTICE IS HEREBY GIVEN to the holders of the above Bonds that, at the Meeting of
such holders convened by the Notice sent to Euroclear and Clearstream Luxembourg
on 18 November 2005 and held on 12 December 2005, the Extraordinary Resolution
set out in such Notice was duly passed. Accordingly, the modifications referred
to in the Extraordinary Resolution have been implemented with effect on and from
12 December, 2005.
