Item 8.01 Other Events.

On February 2, 2024, Alta Equipment Group Inc. (the “Company”) issued a press release announcing that the Company’s Board of Directors has declared a dividend of $0.057 per share of its outstanding shares of common stock, par value $0.0001 per share (“common stock”), with the record date for the dividend February 15, 2024 and the payment date February 29, 2024. The common stock trades on the New York Stock Exchange under the symbol “ALTG.” The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Alta Equipment Group Announces Common Stock Dividend

LIVONIA, Mich. – February 2, 2024 – Alta Equipment Group Inc. (NYSE: ALTG) (“Alta” or "the Company"), a leading provider of premium material handling, construction and environmental processing equipment and related services, today announced that its Board of Directors approved the quarterly dividend on its common stock in the amount of $0.057 per share. The dividend payment date is February 29, 2024, to shareholders of record at the close of business on February 15, 2024.
