Item 8.01. Other Events.

On September 20, 2024, all previously issued shares of Series X Preferred Stock (“Series X Preferred Stock”) of Scienture Holdings, Inc. (the “Company”) were converted into a total of 6,826,713 shares of the Company’s common stock, par value $0.00001 per share (“Common Stock”). Following the completion of the conversion of all issued and outstanding shares of Series X Preferred Stock, the Company had 8,576,795 shares of Common Stock outstanding.

For more information regarding the conversion of the Series X Preferred Stock, please refer to the Form DEF 14C as filed with the Securities Exchange Commission (the “SEC”) on August 28, 2024.
