       Watts Blake Bearne & Co Plc (the "Company")

The  Board  of  Watts Blake Bearne announces  that  it  is  in
discussions with SCR Sibelco S.A. ("Sibelco") which may or may
not lead to an offer by Sibelco or one of its subsidiaries for
the  outstanding  ordinary shares in the Company  not  already
owned by Sibelco at a price of 500 pence per share in cash.

A further announcement will be made in due course.
