                                  ACQUISITION

ACQUISITION OF CRESCENT PSS PTY LTD

The Company's Australian business has today acquired the entire issued share
capital of Crescent PSS Pty Ltd ("Crescent") from the vendors detailed below.
Crescent is a well established consultancy offering project management and
advisory consultancy services predominantly to the resources sector within
Australasia.

The initial consideration for the acquisition amounts to �1.7 million, of which
�1.4 million is payable in cash, with the balance being satisfied by the issue
of 58,980 Hyder Consulting PLC shares ("the Consideration Shares"). �0.5 million
of the initial consideration is deferred and payable in two equal tranches, one
after six months and the second on the first anniversary of completion. 
Additional consideration of up to �1.7 million is payable in cash over the
following three years dependent on future business performance.

APPLICATION FOR ADMISSION

Following completion application will be made for the Consideration Shares,
which rank pari passu in all respects with the existing issued ordinary shares
in the Company, to be admitted to the Official List and to trading on the London
Stock Exchange's market for listed securities.

The vendors referred to above are Claire Carmichael, Terry Pilch, Credipac Pty
Ltd, O'DD Australia Pty Ltd, John Hunter, Peter Hill, Hyacinth Engineering
Services Pty Ltd, Colin and Madeline Cropley, CHS Practical Solutions Pty Ltd,
KCT Group Pty Ltd.
