("Angel Mining" or the "Company", AIM: ANGM)

Issue of Shares

The board of Angel Mining plc announces that it has raised GBP100,000 through the issue of 10,000,000 new ordinary shares of 1p each in the Company ("Ordinary Shares") to YA Global Masters SPV Ltd. ("YAGM") at 1p per share. The proceeds will convert at an agreed exchange rate of GBP/$ 1.62 producing a value of US$162,000, of which US$123,038 will be used to reduce the Company's repayment obligations, under the promissory note facility with YAGM, and US$38,962 will be used to pay interest. The promissory note liability has now been reduced to US$1,111,449. YAGM is also known as Yorkville Advisors.

Application will be made for the 10,000,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that admission will become effective and that dealings will commence on Thursday, 27 December 2012.
