    NOTICE IS HEREBY GIVEN in respect of the �600,000,000 4.625 per cent. Guaranteed 
Notes due 4 November 2011 (ISIN: XS036983669) (the "Notes") issued by Bank of Scotland 
plc (the "Issuer") and guaranteed by The Commissioners of Her Majesty's Treasury that at an 
adjourned meeting held at 10.00 a.m. (London time) on 23 December 2008 of the holders (the 
"Noteholders") of the Notes constituted by a trust deed dated  15 October 2008 (the "Trust 
Deed") made between the Issuer and Citicorp Trustee Company Limited as trustee for 
the Noteholders, the Extraordinary Resolution detailed in the Notice of an Adjourned Meeting 
of Noteholders dated 10 December 2008 was duly passed by the requisite majority 
of Noteholders.
