Announcement of transfer of engagements

The Board of Clarion Housing Group Limited announces that it has successfully concluded the transfer of engagements of Roddons Housing Association Limited to Circle Thirty Three Housing Trust Limited.

As at today, the Guarantors pursuant to (and as defined in) the Security Trust Deed in respect of the GBP385,000,000 7.25 per cent. Fixed Rate Secured Notes due 2038 issued by Circle Anglia Social Housing plc and GBP250,000,000 5.20 per cent. Fixed Rate Secured Notes due 2044 issued by Circle Anglia Social Housing plc, are:

Circle Thirty Three Housing Trust Limited

Old Ford Housing Association

Mole Valley Housing Association Limited

Russet Homes Limited

Merton Priory Homes Limited

Affinity Sutton Homes Limited

(Wherry Housing Association Limited ("Wherry"), Mercian Housing Association Limited ("Mercian"), South Anglia Housing Limited and Roddons Housing Association Limited having each transferred its engagements to Circle Thirty Three Housing Trust Limited effective 30 September 2016 (Wherry and Mercian), 01 December 2016 and 01 February 2017 respectively).
