Environmental Law means, as to the Borrower or its Subsidiaries, all
Legal Requirements or common law theories applicable to the Borrower or its Subsidiaries arising from, relating to, or in connection with the Environment, health, or safety, including CERCLA, relating to (a) pollution, contamination, injury,
destruction, loss, protection, cleanup, reclamation or restoration of the air, surface water, groundwater, land surface or subsurface strata, or other natural resources, (b) solid, gaseous or liquid waste generation, treatment, processing,
recycling, reclamation, cleanup, storage, disposal or transportation, (c) exposure to pollutants, contaminants, hazardous, medical and infectious, or toxic substances, materials or wastes, (d) the safety or health of employees, or
(e) the manufacture, processing, handling, transportation, distribution in commerce, use, storage or disposal of hazardous, medical and infectious, or toxic substances, materials or wastes.
Environmental Liability means all liabilities, obligations, damages, losses, claims, actions, suits, judgments, orders,
fines, penalties, fees, expenses and costs (including administrative oversight costs, natural resource damages and remediation costs), whether contingent or otherwise, arising out of or relating to (a) compliance or non-compliance with any Environmental Law, (b) the generation, use, handling, transportation, storage, treatment or disposal of any Hazardous Substances, (c) exposure to any Hazardous Substances,
(d) the Release of any Hazardous Substances, or (e) any contract, agreement or other consensual arrangement pursuant to which liability is assumed or imposed with respect to any of the foregoing.
Environmental Permit means any permit, license, order, approval, registration or other authorization under Environmental
Law.
Equity Interest means, with respect to any Person, any shares, interests, participation, or other equivalents
(however designated) of corporate stock, membership interests or partnership interests (or any other ownership interests) of such Person.
ERISA means the Employee Retirement Income Security Act of 1974, as amended from time to time.
ERISA Affiliate means any trade or business (whether or not incorporated) which, together with any Loan Party, is treated
as a single employer under Section 414 of the Code.
Erroneous Payment has the meaning set forth in
Section 8.12(a).
Erroneous Payment Deficiency Assignment has the meaning set forth in
Section 8.12(d)(i).
Erroneous Payment Impacted Class has the meaning set forth in
Section 8.12(d)(i).
Erroneous Payment Return Deficiency has the meaning set forth in
Section 8.12(d)(i).
Erroneous Payment Subrogation Rights has the meaning set forth in
Section 8.12(e).
EU Bail-In Legislation Schedule
means the EU Bail-In Legislation Schedule published by the Loan Market Association (or any successor person), as in effect from time to time.
