What does todays announcement regarding the setting of the shareholder vote and record date mean?
|

Todays announcement is a customary step during the merger process. In order to consummate the merger of Allscripts and Eclipsys, shareholders
from the respective companies must vote on the proposal. Today we announced that shareholders owning Allscripts shares on July 13, 2010 will be entitled to vote on the proposed issuance of shares to Eclipsys shareholders in connection with the
merger. The formal vote will be tabulated and finalized at a Special Meeting of shareholders which is scheduled for August 13, 2010. Eclipsys has also scheduled a shareholder meeting on August 13, 2010 so their shareholders may
vote on the merger.

What happened to allow the shareholder votes to be scheduled?
|
|
|
|
As part of the normal course of a proposed merger between two public companies, Allscripts and Eclipsys filed a detailed legal document called a
registration statement with the United States Securities and Exchange Commission on June 29, 2010. As part of that process, the SEC examines the registration statement and may pose questions back to the company, require further clarification
and request additional data. In some cases this process can take weeks or even months. In this case, the SEC gave Allscripts clearance to proceed with the next steps in the merger process. This is good news as we can now proceed with the shareholder
vote in August.

Will Allscripts and Eclipsys merge on August 13?
|
|
|
|
No. This is the day of the shareholder votes. Both Eclipsys and Allscripts shareholders must vote in favor of proposals on the merger and the issuance
of shares, respectively, to move forward. This is one step in the process of moving toward closing the merger.

Do we now know when the merger will close?
|
|
|
|
No, not specifically. While setting the meeting date for the shareholder vote and obtaining shareholder approvals are required in advance of closing
the merger, the merger consummation is separate and will occur after the shareholder votes are received and other necessary conditions to the merger are satisfied.

Is todays new good or bad?

|
|
This is good news because it provides greater clarity over the timing for one important step to complete the merger.

How does this milestone fit into the process?
|

|
Assuming both Eclipsys and Allscripts shareholder approvals are received, this will be an important milestone in the transaction. However, there
are other conditions to closing the merger, including, among others, Misys shareholder approval and the reduction of Misys ownership stake in Allscripts through the previously announced secondary offering and share buyback.
