Explanation of Responses:
(1)	On July 26, 2021, all of the shares of Class A Stock of BPYU were mandatorily exchanged pursuant to BPYU's certificate of incorporation, as amended (the "Mandatory Exchange").
(2)	Represents the cash value of the default consideration received per share of Class A Stock in the Mandatory Exchange.

Remarks: Mr. Kingston performs the functions of chief executive officer for BPYU pursuant to a Master Services Agreement, dated August 27, 2018, among Brookfield Asset Management Inc., BPYU and certain other parties thereto.
