Confirmation of Exchange Rate

WANdisco plc (the "Company") (LSE: WAND), the data activation platform, confirms that further to the announcement of the successful completion of the $30 million equity fundraise (the "Fundraise") on 7 July 2023 the Sterling and USD exchange rate used was 1.2624.

Following the previously announced bookbuild process 47,528,517 New Ordinary Shares will be issued at the Offer Price of 50 pence per share, equivalent to GBP23.76 million. This bookbuild process followed the consultative process with shareholders in the Exploring Funding Options announcement on 15 May 2023, prior to which the Company had made several notifications regarding the Irregularities and its financial position, including: the initial Trading Revision announcement on 9 March 2023; the Independent Investigation Appointment announcement on 10 March 2023; the Board Change and Investigation Update announcement on 3 April; the FCA Investigation announcement on 20 April; the Independent Investigation Update announcement on 28 April. On 28 June, the Company announced an Update on Timing of Results and Equity Issue prior to the Launch of Fundraise announcement on 3 July 2023.

Admission and lifting of the suspension of Ordinary Shares to trading on AIM

Application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will be effective and settlement of the New Ordinary Shares will commence at 8.00 a.m., today on 25 July 2023.

The Company published its FY22 Annual Report & Accounts on 12 July 2023, following which the Company and its nominated adviser have requested that the suspension of the Ordinary Shares to trading on AIM be lifted at 7.30 a.m., today on 25 July 2023.
