Total Voting Rights


In conformity with Disclosure and Transparency Rule (DTR) 5.6, and
the DTR's Transitional Provision 6, Phoenix VCT plc notifies the
market of the following:

Phoenix VCT plc's issued share capital consists of 11,082,865
ordinary shares with a nominal value of 10p each in the Company
('Ordinary Shares'); and 5,523,836 C shares with a nominal value of
10p each in the Company ('C Shares'). Phoenix VCT plc does not hold
any Ordinary Shares, or C Shares, in Treasury.

Therefore, the total number of voting rights in Phoenix VCT plc is
16,606,701 (the 'Figure').

The Figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Phoenix
VCT plc under the FSA's Disclosure and Transparency Rules.
