Director Shareholding

The Company announces that on the 22 December 2010 Chris Wright, Chairman of Chrysalis, purchased 3,000,000 ordinary shares of 2p each, representing 4.5% of the issued share capital of the Company, from his Life Interest Trust at a price of 159.5p per Share. Accordingly Chris Wright's holding remains unchanged at 18,508,515 shares representing 27.6% of the existing issued ordinary share capital of the Company.

The transaction was undertaken in accordance with the arrangements and undertakings previously agreed with Forte Bidco 1 Limited (an indirect wholly-owned subsidiary of BMG RM Investments Luxembourg S.a.r.l., a joint venture between Bertelsmann A.G. and certain funds).
