Publication of Final Terms

The following Final Terms are available for viewing:

Canadian Imperial Bank of Commerce ("CIBC") has agreed to issue GBP 250,000,000 of Floating Rate Covered Bonds (the "15 July 2016 Covered Bonds") as a reopening of the GBP 250,000,000 Floating Rate Series CBL10 Tranche 1 Covered Bonds due 11 March 2019 (the "11 March 2016 Covered Bonds" and, together with the 15 July 2016 Covered Bonds, the "Covered Bonds") pursuant to its CAD 20,000,000,000 Global Covered Bond Programme unconditionally and irrevocably guaranteed as to payments by CIBC Covered Bond (Legislative) Guarantor Limited Partnership.

The following document constitutes the final terms dated 13 July 2016 (the "Final Terms") relating to the issue of the 15 July 2016 Covered Bonds for the purpose of Article 5.4 of the Prospectus Directive (Directive 2003/71/EC (as amended by Directive 2010/73/EU and including any relevant implementing measures in the United Kingdom)) and must be read in conjunction with the Prospectus dated 21 June 2016 (which incorporates by reference the Conditions set forth in the Prospectus dated 24 June 2015), as supplemented by (i) the 1st combined supplementary prospectus dated 28 June 2016 and (ii) the 2(nd) combined supplementary prospectus dated 30 June 2016 (collectively, the "Prospectus"). Complete information on CIBC and the offering of Covered Bonds can only be obtained by reading the Final Terms together with the Prospectus.

The Final Terms have been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/nsm.
