Item 1.01. Entry into a Material Definitive Agreement.
On September 23, 2024, VRB Energy, Inc. ("VRB Energy"), a 90% owned subsidiary of Ivanhoe Electric Inc. (the "Company"), which is primarily engaged in the design, manufacture, installation, and operation of vanadium redox flow energy storage systems, entered into a binding term sheet (the "Term Sheet") with China Energy Storage Industry Co., Ltd. ("CES"), a subsidiary of privately held Shanxi Red Sun Co., Ltd., (which we refer to collectively with CES as "Red Sun") as well as VRB Energy's wholly-owned subsidiary, VRB Energy System (Beijing) Co., Ltd. ("VRB China" or the "Joint Venture"). The Term Sheet provides for the creation of a 51/49 joint venture which shall result from both Red Sun's purchase of shares in the Joint Venture from VRB Energy for $20 million in cash payable in two equal tranches and the increase in the Joint Venture's share capital through Red Sun's subscription of the Chinese Renminbi equivalent of $35 million through 2025 (the "Transaction"). Upon closing of the Transaction, Red Sun will own 51% of the Joint Venture and VRB Energy will own 49% of the Joint Venture. Payments not paid at closing by Red Sun will be secured by a partial pledge of the shares of the Joint Venture then owned by Red Sun to VRB Energy.
Pursuant to the Term Sheet, the parties have agreed to negotiate and finalize the definitive agreements memorializing the terms of the Transaction consistent with the Term Sheet. The Transaction is expected close simultaneously with the signing of the definitive agreements. The parties have agreed to use all reasonable efforts to satisfy all conditions precedent to execution and completion such that closing can occur as soon as possible following the execution of the Term Sheet. Such conditions include, without limitation, the execution of mutually satisfactory definitive agreements, the completion of the intellectual property reorganization described below, the satisfactory completion of due diligence by Red Sun, board approval of each party, all necessary regulatory approvals and filings in China, and conversion of the convertible note held by BCPG Public Company Limited into equity of VRB Energy at a valuation not less than RMB 520 million.
Upon completion of the Transaction, the Joint Venture and its subsidiaries shall continue to operate under the "VRB Energy" name and branding. Funding of the Joint Venture after the Transaction shall be pro rata and subject to a customary dilution formula. The Board of Directors of the Joint Venture (the "Board") will be set at six directors, with two nominees from VRB Energy. So long as VRB Energy owns 20% of the share capital of the Joint Venture, it shall be entitled to designate two of six directors on the Board. From the date that VRB Energy has less than 20% of the share capital of the Joint Venture but more than 10%, it shall be entitled to designate only one of six directors. Should VRB Energy come to own less than 10% of the share capital of the Joint Venture, it shall not be entitled to designate any nominees on the Board. The Board shall operate by majority vote unless otherwise required by law.
VRB Energy is in the process of establishing vanadium redox flow battery manufacturing in the United States of America through VRB Energy USA Inc. ("VRB USA"), a wholly-owned subsidiary of VRB Energy. Prior to the execution of definitive agreements, VRB Energy will undertake a restructuring of existing intellectual property related to vanadium redox flow batteries, including but not limited to patents, trademarks, copyrights, trade names, know-how, engineering and manufacturing database, and software to design and operate the VRB-ESS technology, intended to permit the Joint Venture to operate in Asia, Russia, the Middle East and Africa and VRB USA to operate in North and South America, Europe and other isolated jurisdictions. Pursuant to the Term Sheet, Red Sun, VRB Energy and VRB USA shall also negotiate a cooperation agreement as part of the definitive agreements.
The Term Sheet shall automatically terminate in all respects if the definitive agreements are not executed by November 30, 2024. If the Term Sheet is terminated, the parties shall have no further obligations with respect to the matters contemplated therein, provided, that (i) the Joint Venture shall return to Red Sun any interim funding provided by Red Sun to the Joint Venture, without interest or penalty, and (ii) Red Sun will reimburse the Joint Venture for any reasonable costs or expenses incurred by the Joint Venture that would not have otherwise been incurred but only if the termination of the Term Sheet is due to reasons solely attributed by Red Sun.

This Term Sheet dated 23 September 2024 contemplates the proposed creation of a 51/49 joint venture in respect of VRB China between CES and VRB Cayman which shall result from both CES's purchase of shares in VRB China from VRB Cayman and the increase in VRB China's share capital through CES's subscription (the "Transaction"). VRB China is currently a wholly owned subsidiary of VRB Cayman. VRB China also holds a 100% equity interest in VRB Energy Operations (Beijing) Co., Ltd. (北京普能世纪科技有限公司) established on 19 January 2007 (the "Operation Entity", together with VRB China and other subsidiaries owned by VRB China, the "VRB China Group"). CES is or shall be a wholly-owned subsidiary of Shanxi Red Sun Co., Ltd. prior to the execution of Definitive Agreements.

The parties intend for the provisions in this Term Sheet to be fully binding. The unpaid transfer payments due to VRB Cayman shall accrue no interest and are to be paid in United States dollars in full by wire transfer of immediately available funds to a bank account designated of VRB Cayman, such transfer to be made by June 30, 2025. Similarly, no interest shall be applied to unpaid capital increase amounts.

From the Completion, the day-to-day management and operational functions of VRB China will be managed as directed by the Board, with CES determining:

The current Chief Executive Officer and senior management of VRB China will work with CES to develop a reasonable transition plan (the "Transition Plan") for all matters, including operational, financial, employment and other matters. 8. VRB Cayman and VRB USA shall agree not to sell or license their intellectual property (1) for an agreed period, or (2) to "Competitors" (to be defined), subject to applicable U.S. antitrust laws in both cases. This restriction shall not apply to, among other scenarios to be further agreed by all parties: a public change of control involving IE new financial investments into VRB USA from non-competitors; or an initial public offering (IPO) of VRB USA; provided that after such excepted transactions, investments or IPO, the VRB USA shall take reasonable steps to require the surviving entity to still comply with the same restrictions of sale or licensing to the extent applicable at that time. Outside of these exceptions, VRB China shall have a right of first refusal (ROFR) on any sale of intellectual property by VRB USA.

Confidentiality:

The Definitive Agreements shall contain customary confidentiality provisions protecting the confidentiality of all proprietary and confidential information disclosed or exchanged during the course of the Transaction, and provide that such confidential information shall be used solely for the purposes of agreement and shall not be disclosed to third parties without the express written consent of the disclosing party but with customary carve-outs for disclosure required by law, stock exchange rules and legal process.

Dispute Resolution:

|
Any disputes arising from or related to this Term Sheet shall be resolved through friendly negotiations between the parties. If an agreement cannot be reached, either party shall submit to Beijing Arbitration Commission for arbitration in accordance with its rules of arbitration in effect at the time of applying for arbitration. The seat of arbitration shall be Beijing. The arbitral award is final and binding upon all parties.
因本条款清单产生的或与本条款清单有关的任何争议应由各方通过友好协商解决。如无法达成一致，任何一方可提请北京仲裁委员会按照该会现行仲裁规则进行仲裁。仲裁地在北京，仲裁裁决是终局的，对各方均有约束力。

Termination:

|
This Term Sheet shall automatically terminate in all respects if the Definitive Agreements are not executed by 30 November 2024, provided that the Confidentiality, Governing Law and Dispute Resolution terms shall remain in effect. In the event this Term Sheet is terminated, the parties shall have no further obligations with respect to the matters contemplated herein, provided, that (i) VRB China shall return to CES any interim funding provided by CES to VRB China, without interest or penalty; (ii) CES will reimburse VRB China for reasonable expenses incurred by VRB China after the signing of this Term Sheet and prior to its termination for expenses or costs incurred in giving effect to these transactions that would not have otherwise been incurred only if the termination of this Term Sheet is due to reasons solely attributed by CES; and (iii) CES' failure to complete payment in accordance with Appendix 1 shall not be deemed a breach of this Term Sheet (except following the execution of Definitive Agreements where the failure to make payment in accordance with the Definitive Agreements will be a breach of the Definitive Agreements).

Ivanhoe Electric's VRB Energy Subsidiary Secures $55 Million Investment
Ivanhoe Electric to Use $20 Million of the Transaction Proceeds to Establish U.S.-based Grid Scale Vanadium Redox Flow Battery Manufacturing in Arizona
Existing VRB Energy Manufacturing Operation in China to become 51/49 Joint Venture Following $35 Million Investment from Red Sun, a Leading Asian New Energy Group
PHOENIX, ARIZONA - Ivanhoe Electric Inc. ("Ivanhoe Electric") (NYSE American: IE; TSX: IE) Executive Chairman Robert Friedland and President and Chief Executive Officer Taylor Melvin are pleased to announce that the Company's 90%-owned subsidiary, VRB Energy Inc. ("VRB Energy"), has executed a binding Term Sheet (the "Agreement") with a subsidiary of privately held Shanxi Red Sun Co., Ltd. ("Red Sun") and VRB Energy's wholly-owned subsidiary, VRB Energy System (Beijing) Co., Ltd. ("VRB China" or the "Joint Venture"). The Agreement outlines the binding framework for the formation of the Joint Venture, with Red Sun owning 51% and VRB Energy owning 49%.
In addition to the formation of the Joint Venture, Ivanhoe Electric and VRB Energy will establish a separate United States-based vanadium redox battery business, to be located in Arizona. $20 million of the transaction proceeds will support Ivanhoe Electric's establishment of the U.S.-based battery business.
VRB Energy, a clean technology innovator, has commercialized the largest vanadium flow battery cell stack (50 kilowatts) and power module (1 megawatt) on the market. This battery system has been certified by Underwriters Laboratories 1973, recognized as a global standard for commercially available battery energy storage. Red Sun is a private investment group based in Shanxi Province, China, which focuses on investments in new energy and energy storage technology, biomedicine, and high-end agriculture.
The Joint Venture is being formed to manufacture and sell vanadium redox flow battery systems with a market focus in Asia, the Middle East, and Africa. The restructuring will allow VRB Energy to concentrate on developing its U.S.-based vanadium redox flow battery systems business ("VRB USA"), which will be owned 100% by VRB Energy.
The Agreement was signed on September 23, 2024, with the transaction expected to close in the fourth quarter of 2024, pending execution of definitive agreements and certain other conditions precedent.

Key terms of the Joint Venture between Red Sun and VRB Energy Inc.
- Red Sun will purchase shares from VRB Energy for $20 million in cash payable in two equal tranches
- Red Sun will also complete a capital increase of $35 million through 2025 into the Joint Venture through the issuance of new shares
- After closing, Red Sun will own 51% and VRB Energy will own 49% of the Joint Venture
- The Joint Venture will operate through a board of directors with four representatives from Red Sun and two from VRB Energy, with customary pro rata funding and supermajority approval rights
- VRB Energy will restructure its intellectual property that will include, among other things, transferring ownership of U.S. patent rights held by the Joint Venture back to VRB Energy
- The Joint Venture aims to accelerate the manufacture and sale of vanadium redox flow battery systems by combining VRB Energy's technology with facilities and infrastructure to be leased or acquired from entities affiliated with the founders of Red Sun
The transaction provides Ivanhoe Electric the opportunity to benefit from a newly capitalized Joint Venture operated by a strong and experienced local Chinese partner, Red Sun. Red Sun plans to establish two manufacturing sites for the Joint Venture, one in Changzhi City, Shanxi Province, with a 300-megawatt production line and a second in Huaihua City, Hunan Province, with a 200-megawatt production line. Combined, these production lines will provide approximately ten times the production capacity of VRB Energy's existing facility. The Joint Venture will also construct a dedicated electrolyte plant with Red Sun's funding of the Joint Venture. This facility, to be constructed in Shanxi Province, is expected to be completed in 2025 and have a production capacity of 5,000 cubic meters of electrolyte per year with the ability to expand as business conditions require.
As a non-participating, non-controlling shareholder in the Joint Venture, Ivanhoe Electric, through VRB Energy, will retain exposure to the growing grid-scale battery markets in Asia, the Middle East, and Africa. Meanwhile, Ivanhoe Electric will focus on establishing and growing vanadium redox flow battery production in Arizona to serve North American, South American, and European markets.
VRB Energy to focus on the development of domestic U.S. manufacturing for vanadium redox flow battery systems
- VRB Energy will establish VRB USA to pursue domestic manufacturing of vanadium redox flow battery systems
- A Cooperation Agreement for the Joint Venture will ensure global patent protection and will allow VRB USA to maintain access to intellectual property and associated rights, obtain the benefit of cross-licensing of new inventions and improvements, and utilize the Joint Venture as a preferred supplier for certain key equipment and electrolyte
- The holding company of VRB USA, VRB Energy, will receive $20 million from Red Sun for the purchase of some of its shares in the Joint Venture
- VRB USA will establish a domestic battery assembly facility in Arizona, capable of producing 50 megawatts per year of VRB-ESS® vanadium flow batteries

Transaction closing is expected in the fourth quarter of 2024
The Agreement is a framework that sets out the binding parameters of the transactions disclosed in today's announcement. It will be replaced by more detailed definitive agreements, which will include key terms from the Agreement. The transactions remain subject to certain conditions being satisfied, including execution of the definitive agreements, Chinese regulatory approvals, certain waivers under the convertible bond issued by VRB Energy and held by BCPG Public Company Limited, and other customary regulatory approvals.
