On October 18, 2023, VMware, Inc. (VMware) and Broadcom Inc. (Broadcom) issued a joint press release announcing
that the deadline for VMware stockholders of record to elect the form of merger consideration they wish to receive in connection with Broadcoms acquisition of VMware (the Transaction) is 5:00 p.m. Eastern Time on October 23,
2023 pursuant to the Agreement and Plan of Merger, dated as of May 26, 2022, by and among Broadcom, VMware, Verona Holdco, Inc., Verona Merger Sub, Inc., Barcelona Merger Sub 2, Inc., and Barcelona Merger Sub 3, LLC. VMware stockholders who
hold shares through a bank, broker or other nominee may be subject to an earlier election deadline and should carefully review any materials they received from their bank, broker or other nominee regarding how to make an election as to the form of
