Item 8.01. Other Events.

On March 13, 2013, the Board of Directors of Altisource Residential Corporation (the “Company”) unanimously approved a resolution establishing March 28, 2013, as the record date for determining the stockholders entitled to notice of and to vote at the Company's 2013 Annual Meeting of Stockholders (the “Annual Meeting”).

The Annual Meeting will be held on Wednesday, May 22, 2013 at 9:00 a.m., Atlantic Standard Time, at the offices of Altisource Asset Management Corporation, 402 Strand Street, Frederiksted, U.S. Virgin Islands 00840-3531.

On March 19, 2013, the Company issued a press release announcing the record date for and the date of the Annual Meeting. A copy of the press release is attached hereto as Exhibit 99.1.
