RAMAT GAN, Israel — (January 07, 2021) XTL Biopharmaceuticals Ltd. (the “Company”) announces today the results of the Annual General Meeting of shareholders of the Company, held today, Thursday, January 07, 2021, in Bnei Brak, Israel (the “Meeting”). At the Meeting, all of the proposals set forth in Company’s announcement dated November 25, 2020 were approved by the required majority of the shareholders. The resolutions were as follows:

 

1. To approve the re-appointment of Kesselman & Kesselman, Israeli CPAs, a member firm of PricewaterhouseCoopers International Limited, as our independent registered public accounting firm for the fiscal year ending December 31, 2020 and until our next annual general meeting of shareholders, and to authorize our Board of Directors to fix such accounting firm’s annual compensation.

To re-elect Messrs. Alexander Rabinovitch, Dr. Jonathan Schapiro, Shlomo Shalev, Doron Turgeman and Dr. Dobroslav Melamed to our Board of Directors, each for a term expiring at our next annual general meeting of shareholders (a separate vote for each director has been taken).

 

3. To approve the renewal of the Compensation Policy of the Company, in accordance with the requirements of the Israeli Companies Law 5759-1999 (the “Companies Law”), for a period of three years.
