The A Consulting Team, Inc. ("TACT") (Nasdaq Capital Market: TACX), an IT and Business Process Outsourcing (BPO) services provider to Fortune 1000 companies, announced that its founder and CEO, Shmuel BenTov, and his family have entered into a Stock Purchase Agreement on March 30, 2006 with Helios & Matheson Information Technology Ltd. ("H&M"), an IT service company headquartered in Chennai, India. H&M purchased the BenTov family's 43 percent equity ownership in TACT for $8,750,000 or $8.54 per share plus an earn-out, to be paid by H&M, calculated as 35 percent of TACT's earnings (if any) before taxes, depreciation and amortization for a two-year period beginning April 1, 2006. H&M paid $3,400,000 in cash at the closing. The balance of the payments, including any earn-out payments, will be paid by H&M from H&M's working capital, future earnings and/or the net proceeds of future debt or equity financing. Mr. BenTov will remain as TACT's president and CEO pursuant to his employment agreement dated as of December 1, 2005.
