Interest on the Series QQ Notes
The Series QQ Notes will bear interest at a rate of % per annum. Interest on the Series QQ Notes will accrue from
, 2024 and will be payable semiannually on and of each year, beginning on , 2025, to the person listed as the holder of the note, or
any predecessor note, in the security register at the close of business on the preceding or (whether or not a business day), as the case may be. These dates are the Regular Record
Dates for the Series QQ Notes.
If any interest payment date, stated maturity date or redemption or repurchase date for the Series
QQ Notes is not a business day, the payment otherwise required to be made on such date will be made on the next business day without any additional payment as a result of such delay.
The Trustee
The Trustee under the
Indenture has two main roles. First, the Trustee can enforce your rights against us if we default on our obligations under our debt securities. There are some limitations on the extent to which the Trustee acts on your behalf, described below under
Default and Related MattersRemedies If an Event of Default Occurs. Second, the Trustee performs administrative duties for us, such as sending you interest payments, sending you notices and transferring your debt securities to
a new buyer if you sell.
Redemption at Our Option
We may redeem the Series PP Notes in whole or in part, at any time and from time to time, at our option, prior to ,
20 ( months prior to the maturity date of the Series PP Notes) (the Series PP Par Call Date), at a redemption price (expressed as a percentage of principal amount and rounded to three decimal places)
equal to the greater of:
(1) (a) the sum of the present values of the remaining scheduled payments of principal and interest thereon
discounted to the redemption date (assuming the Series PP Notes matured on the Series PP Par Call Date) on a semiannual basis (assuming a 360-day year consisting of twelve
30-day months) at the Treasury Rate plus basis points less (b) interest accrued to the date of redemption, and
(2) 100% of the principal amount of the Series PP Notes to be redeemed,
plus, in either case, accrued and unpaid interest thereon to the redemption date.
On or after the Series PP Par Call Date, we may redeem the Series PP Notes, in whole or in part, at any time and from time to time, at our
option, at a redemption price equal to 100% of the principal amount of the Series PP Notes being redeemed plus accrued and unpaid interest thereon to the redemption date.
We may redeem the Series QQ Notes in whole or in part, at any time and from time to time, at our option, prior to
, 20 ( months prior to the maturity date of the Series QQ Notes) (the Series QQ Par Call Date and, together with the Series PP Par Call Date, the Par Call Dates,
and each a separate Par Call Date), at a redemption price (expressed as a percentage of principal amount and rounded to three decimal places) equal to the greater of:
(1) (a) the sum of the present values of the remaining scheduled payments of principal and interest thereon discounted to the redemption date
(assuming the Series QQ Notes matured on the Series QQ Par Call Date) on a semiannual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury
Rate plus basis points less (b) interest accrued to the date of redemption, and
(2) 100% of the
principal amount of the Series QQ Notes to be redeemed,
plus, in either case, accrued and unpaid interest thereon to the redemption date.
