                        DIVIDEND PROPOSAL ROLINCO N.V.

At the meeting held on 6 March 2002, the supervisory and management boards of
Rolinco N.V. decided to propose to the General Meeting of Shareholders the
following cash dividend for the 2001 financial year. EUR 0.36 (dividend over the
financial 2000 was corrected for the share split of EUR 0.31).

The 2001 annual report will be published on Thursday, 21 March 2002.

The meeting of shareholders will be convened in Rotterdam on Wednesday, 24 April
2002.

The shares will be quoted ex dividend from 26 April 2002.
