Aviation Corp. (OTCQB: SPLI) Vapor Group, Inc. (formerly named
AvWorks Aviation Corp.) is a company that was created through a
reverse merger announced on 1-22-14. AvWorks Aviation acquired
Vapor Group, Inc. AvWorks Aviation had marginal revenue in
2013 and Vapor Group, Inc. had revenue of $1.9 million in 2013. The merged company is in
the process of changing its name to Vapor Group, Inc. and applying
for a new ticker symbol on the OTC Market. SPLI will issue
7,500,000 shares of its newly created Series B Preferred stock
(convertible to common shares at 100:1 and restricted for 18
months) for 100% of the issued shares of Vapor Group, Inc.
Vapor Group, Inc., is in the business of designing, developing,
manufacturing and marketing , E-Cigarette brands offering a
range of products with unique e-liquid flavors. All of its
E-Cigarettes consist of a long-life battery, a heating element, a
cartridge filled with an "e-liquid" and an atomizer which when
heated, vaporizes the e-liquid.
