Corporation ("Meridex") is pleased to announce that effective June
24, 2005 Meridex has entered into an asset purchase agreement with
AssistGlobal Inc. The assets include intellectual property (the
MicroView product line) and equipment, all strategic to Meridex's
goal of expanding their software and hosting offerings into the
international marketplace. The expansion will be facilitated by a
wholly owned subsidiary within the Meridex group that will develop
the Facilities and Project management focus for the company. The
assets will form the technology platform for software and services
development to be marketed within various sectors of the Project
and Facilities Management industries. Meridex will provide the
subsidiary any operational support necessary to execute sales and
marketing initiatives in an effort to reach these markets and
promote revenue growth. "This purchase will immediately expand our
product and services offerings," says Dr. Intesar Ramley, CEO of
Meridex, "and enables the company to grow into new geographic
markets." MicroView products are currently used worldwide by over
800 clients in 17 countries, and are distributed globally through
an established reseller network. Some of the key organizations
using MicroView products include: Intrawest, Veterans
Administration (VA Medical Centers), Government of Canada, Exxon
Mobil, NASA, University of Sydney, ItalFerr, United States Navy,
Macromedia, British Columbia Institute of Technology, Fraser Health

Meridex has entered into a definitive agreement whereby, Meridex
will acquire 100% of the shares of 0728309 BC Ltd. Shares will be
issued on a scheduled basis whereby the first 350,000 shares will
be issued upon closing with an additional 350,000 shares issued on
December 24, 2005 and the final 400,000 shares issued January 15,
2006. The share exchange agreement with 0728309 BC Inc. will also
include the transfer of all intellectual property used in the
development of mobile products and services for the Facilities and
Project Management industries. Specifically, intellectual property
regarding M3, a software application for handheld devices to manage
Facilities, will be used to continue development of this new mobile
product and subsequent commercial release. M3 is a software
application for handheld computing devices and is used for a
variety of Facilities Management activities such as asset
management, space management, maintenance management, parts
management, inspections and condition assessment. M3 employs
innovative language localization technology that allows the
software to be operated in a wide variety of languages. "We are

secured employment management agreements with Geoffrey Dryer,

that effective June 27,2005 Meridex acquired 100% of the assets of
SDM Enterprises Inc. ("SDM") of San Marcos, Texas, USA. In
accordance with terms of the agreement between the parties Meridex
will acquire 100% of the assets of SDM Enterprises in consideration
of 350,000 common shares of Meridex. These assets include clients
lists, VAR license and equipment, furniture and management
employment contracts. In addition, Meridex will provide the
necessary operational support to execute the sales and marketing
initiatives in order to support the organic revenue growth be used
for sales and marketing initiatives. All of the shares to be issued
by Meridex to the US shareholders of SDM pursuant to Share
Certificate Legends acknowledging the registration under the United
States securities Act of 1933. In accordance with "rule 144" of the
U.S. securities Act. Intesar Ramley, CEO of Meridex, states, "We
