Sybase Calls Convertible Subordinated Notes Due 2025

Sybase, Inc. (NYSE:SY), an industry leader in enterprise and mobile software, today announced that it has called the remaining balance of its outstanding 1.75% Convertible Subordinated Notes due 2025 (the "Notes") for redemption on March 3, 2010. There is approximately $413.7 million aggregate principal amount of the Notes outstanding. The holders’ right to convert their Notes will expire at 5:00 p.m. Eastern Time on March 2, 2010.

Any Notes not converted prior to 5:00 p.m. Eastern Time on March 2, 2010 will be automatically redeemed on March 3, 2010, at a redemption price of $1,000 per $1,000 principal amount of Notes, plus accrued and unpaid interest to, but excluding, the March 3, 2010 redemption date of $0.4375 per $1,000 principal amount of Notes. The Company expects to pay for any redemptions and the cash portion of conversions from its available cash.

Holders of Notes held in book-entry form through the Depository Trust Company (DTC) must follow the DTC's customary practices for surrendering the Notes for conversion or redemption. Holders who hold their Notes in certificate form may convert their Notes or receive the redemption price by surrendering their Notes to U.S. Bank National Association, the conversion and paying agent, as stipulated in the Notice of Redemption. Copies of the Notice of Redemption and Letter of Transmittal may be obtained from U.S. Bank National Association by calling Paula Oswald at 213-615-6043.

From and after March 2, 2010, the Notes will cease to accrue interest, and holders of the Notes that have not been converted will only have the right to receive the redemption price plus accrued and unpaid interest through March 2, 2010 of $0.4375 per $1,000 principal amount of Notes.
