Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 24, 2023, Toby L. O’Rourke informed the board of directors (the “Board”) of Farmland Partners Inc. (the “Company”) of her resignation as a member of the Board, effective immediately. Ms. O’Rourke’s resignation was due to her desire to devote more time to her current commitments and priorities associated with her role as Chief Executive Officer of Kampgrounds of America, Inc., and was not the result of any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
