Explanation of Responses:
(1) Represents shares of common stock earned from the vesting of performance-based restricted stock units previously granted to the Reporting Person pursuant to the Amended and Restated Employment Agreement between the Issuer and the Reporting Person effective as of June 15, 2018.
(2) Represents shares surrendered to cover tax liability upon vesting.
(3) On November 27, 2020, the Company effected a one-for-6.6 reverse stock split (the "Reverse Stock Split") of its shares of common stock, par value $0.06 per share. The number of securities beneficially owned was adjusted by dividing by 6.6 to reflect the Reverse Stock Split.
(4) These shares are owned by the reporting person as custodian for his four children under the Uniform Gifts to Minors Act. The reporting person disclaims beneficial ownership of these shares.
