Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 26, 2024, Sharen J. Turney, an independent Class II member of the Board of Directors (the “Board”) of Academy Sports and Outdoors, Inc. (the “Company”), notified the Board of her resignation as a director of the Company, effective immediately. Effective immediately, the size of the Company’s Board was reduced from ten to nine.

Ms. Turney’s resignation was not the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company.
