In conformity with the Disclosure and Transparency Rule 5.6, Octopus Phoenix VCT 
plc notifies the market of the following: 
 
Octopus Phoenix VCT plc's capital as at 30 July 2010 consists of 18,466,707 
Ordinary Shares with a nominal value of 10 pence each, with voting rights. 
 
The Company does not hold any Ordinary Shares in Treasury. 
 
Therefore, the total number of voting rights in Octopus Phoenix VCT plc is 
18,466,707 (the 'Figure'). 
 
The figure may be used by shareholders as the denominator for the calculations 
by which they will determine if they are required to notify their interest in, 
or a change to their interest in, Octopus Phoenix VCT plc under the FSA's 
Disclosure and Transparency Rules.
