In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following;


Neptune-Calculus Income and Growth VCT plc's capital consists of 3,793,562
Ordinary shares and 8,393,209 C shares with a nominal value of 10p each, with
voting rights.


Therefore the total number of voting rights in Neptune-Calculus Income and
Growth VCT plc is 12,186,771.


The above figure (12,186,771) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Neptune-Calculus Income and
Growth VCT plc under the FSA's Disclosure and Transparency Rules.
