Gem Diamonds bid goes unconditional

AIM RELEASE

KIMBERLEY DIAMOND COMPANY NL (the Company) (AIM: KDC)
GEM DIAMONDS AUSTRALIA PTY LTD (GDAPL)
TAKEOVER BID GOES UNCONDITIONAL

GDAPL has today served on the Company:

1. pursuant to section 650F of the Corporations Act, a notice that GDAPL has
declared its takeover bid for Kimberley unconditional; and

2. pursuant to section 630(4) of the Corporations Act a notice that all
conditions to the option offer have been fulfilled.

As stated in its Bidder's Statement, it is GDAPL's intention to seek the
cancellation of Kimberley's AIM admission (and ASX listing) as soon as it has
an interest in over 90% of Kimberley's issued shares and can therefore
compulsorily acquire the remaining shares on issue. The Company will provide
further details on the timing of the cancellation of its AIM admission when it
is in a position to so.
