HYDER CONSULTING PLC ("Hyder Consulting" or the "Company")



PDMR AND NOTIFICATION OF CHANGE OF MATERIAL INTEREST IN SHARES


In response to significant institutional demand for shares in the Company,
various Director and management shareholders have agreed to dispose of ordinary
shares in the capital of the Company. The disposal will further increase
liquidity in the Company's ordinary share capital by broadening its
institutional shareholder base.


The Company has today received notification from each of the persons detailed
below of their sale today of the number of ordinary shares of 10 pence each
('Ordinary Shares') indicated against their name, at a price of 390 pence per
share:

In addition to the above shareholding Sir Alan Thomas holds 575,473 share
options exercisable at 72 pence per share up to 26 September 2012.


The Company has also received notice from each of the above persons, other than
Sir Alan Thomas, detailing the Ordinary Shares they have sold for the purposes
of Section 198 of the Companies Act 1985. In consequence, Simon Hamilton - Eddy,
Kevin Jones, Alan Proctor and Keith Reynolds no longer have a material interest
in the share capital of the Company.
