Hyder acquires specialist Australian Consultancy

Hyder Consulting plc has acquired the business and assets of Irwinconsult's
operations in New South Wales. Irwinconsult (NSW) provides traffic modelling,
planning and design services relating to major urban transport systems and
property related design services. The acquisition provides Hyder with additional
capabilities in these fields and enhanced access to these sectors of the market.

The company employs a team of around 10 staff and, for the year to 30 April
2005, turnover was approximately #0.4m with an operating loss before interest
and tax of approximately #0.1m. Net assets acquired are expected to be minimal.
The full purchase price, payable in cash, is capped at #0.2m, comprising an
initial payment of #0.1m with subsequent payments dependent on future income
growth and performance.

The acquisition is one of a series of planned infill acquisitions by Hyder in
Australia.
