Allotment
of shares Director & PDMR Dealings and
Total Voting Rights
Gama Aviation Plc ("Gama Aviation" or the
"Company") announces that
it has allotted 786,394 new ordinary shares of 1p each
("Ordinary Shares")
pursuant to the Company's share option schemes. Of which in
aggregate, 277,894 Ordinary Shares were issued to Stephen Wright
and certain other persons carrying out managerial
responsibilities ("PDMR") details of which are set out
below:

Application has been made to the
London Stock Exchange for the admission ("Admission") of the 786,394 new Ordinary
Shares to trading on AIM, which is expected to take place at 8.00am
on 22 May 2024.
Following Admission Stephen Wright
will be beneficially interested in 342,135 Ordinary Shares,
representing 0.53% of the issued share capital of the Company on
Admission.
In addition, Peter Brown (Chairman),
Stephen Wright (Director), and Stephen Mount (NED) have accepted
the Company's cash settlement proposal in respect of their 30,000;
308,553 and 40,000 share options respectively pursuant to the
Company's ASOP scheme. No Ordinary Shares will be issued pursuant
to these share options, which will be settled in cash.
All new Ordinary Shares referred to
in this announcement will rank pari passu with the existing
Ordinary Shares of the Company.
Total Voting Rights
Following Admission of the Ordinary
Shares referred to in this announcement, the Company's issued share
capital will consist of 64,827,673 Ordinary Shares in aggregate,
with no shares held in Treasury. Accordingly, the figure of
64,827,673 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in the
Company under the FCA's Disclosure Guidance and Transparency
Rules.
