      Dealings by the FirstBus plc Employee Share Ownership Plan ("ESOP")

On Thursday 3 July 1997 FirstBus was notified by the Trustees of the ESOP that
they had on that day appropriated a total of 1,199,501 FirstBus shares equally
to 17,903 employees, representing 67 FirstBus shares to each employee. This
leaves 11,153 unappropriated FirstBus shares held by the ESOP.

Jean Weatherhead, the employee non-executive director, received 67 FirstBus
shares under this appropriation. All other eligible directors declined to
participate in this appropriation.

Following the appropriation the FirstBus shares held by Jean Weatherhead are
as follows:

Under the FirstBus ESOP, unappropriated FirstBus shares are held in trust for
the executive directors or employees of FirstBus or its subsidiaries.
Consequently the executive directors of FirstBus are regarded as having a
potential interest in the 11,153 unappropriated FirstBus shares held by the
ESOP.
