Board Change

Costain announces that Mr Mohd Azman Sulaiman, a nominee of UEM Builders Berhad
has been appointed to the Board of Costain as a non-executive director with
effect from Wednesday 30 June 2004. Mr Sulaiman has not held a directorship in a
public quoted company on the London Stock Exchange in the last five years. There
are no details to report in respect of paragraph 6.F2(b) to (g) of the Listing
Rules. Mr Sulaiman is a director responsible for Business Development for the
UEM Group of Companies in Malaysia and a director of UEM Land SDN BHD and
Environment Idaman SDN BHD.

The Company also announces that on 30 June 2004 Mr Aminuddin Yousef Lana has
resigned from the Board of Costain.
