Jake claims Pro Music Rights is the third biggest PRO in the US with an annual revenue of $1 billion and zero employees, although he says some guy in Brazil is his unpaid CTO. The people he alleged were his unpaid board of directors are no longer listed on the OTCmarkets.com website, apart from that Brazilian guy.

Just to be crystal clear, and so everyone has an idea of what $1 billion in revenue should feel like.

To realize 1 billion dollars in revenue means making approximately 2.7 million dollars per day.

Take that and divide into a reasonable number of .0075 royalty revenue per play (reasonable figure based on publicly available information).

That number is 365 million plays. That's playing the songs of artists allegedly managed by SONG. Even if you take off some of that revenue and claim that there are other sources for revenue to come in, the numbers are still massive. None of that adds up. It doesn't pass any logical test.

I'm genuinely curious. Can you really not see that the situation is basically a sham? Are you 100% convinced that this is a legitimate business and that there just hasn't been a real opportunity for things to get going?

Someone on this board even tried to go the AI route and publish some AI music. Ask that poster how much revenue has come in, or how many plays those songs have had so far. I bet the answer is "not many".

You want us to take what you post here seriously? Here's a chance. Provide names of real artists and groups that actually have used SONG's services. Not names listed in PRs or on the website. Actual, documented artists that have claimed they used SONG and are collecting royalties.

I maintain that SONG and/or JPN have not helped on single artist or group in any way. Several have been harmed, which is documented in court filings.

There is no $1 billion in revenue. It's all a mirage.

Retail buyers like you should never take everything they read in old company press releases or tweets at face value particularly when the actions subsequently taken by the company and buy it’s CEO seem to totally contradict what was proposed in the old press releases and tweets 

Personally I suspect even if the company announced today no more reverse splits and commenced a share buy back program of ordinary shares any upward movement in share price is likely to be at best temporary ( with few third party buyers) as there is limited evidence of real cash flows from genuine recurring revenue ( certainly nowhere near $1 billion) or even any evidence of a substantial music catalog of usable music as far as I can see and only evidence of a HUGE debt being carried on the company balance sheet  (which continues to grow as a result of the CEO”s inflated remuneration package)  with the CEO family office still holding a controlling preference share without strong and experienced non executive directors to help counter  the risk of ongoing conflicts of interests with little evidence of a desire and willingness to protect the interests of minority shareholders 
For the sake of your mental health you need to accept that the company and CEO have a HUGE mountain to climb to establishTrust with the market given their prior actions and performance and also have a huge mountain to climb to build both the infrastructure and experienced management team to sustain a genuine business going forwards

Let’s assume SONG continues to decline and eventually reaches $0.0001. If there are approximately 50 million shares outstanding, a determined investor could potentially accumulate a meaningful ownership stake for a relatively small amount of capital.

At what point does ownership become large enough to justify filing beneficial ownership reports or taking a more active role as a shareholder?

More importantly, what options would such a shareholder have if their primary objective was preserving the existing share structure and opposing future reverse splits?

Could a large shareholder realistically seek injunctive relief or pursue legal action to challenge future corporate actions? Or would their practical influence have limited voting rights, and mainly consist of shareholder proposals, director nominations, and public advocacy?

This needs to be pointed out like you did, he has now created a vehicle to sell the debt to others... meaning it cannot and will not be cancelled. The opposite of his hopes and dreams.

An analysis of the underlying free cash flows reported to date in the SONG financial statements together with reported historic asset disposals prima facie brings into question the net present value of the fair market value of the residual Assets still owned by SONG on its balance sheet as does the lack of visibility of real recordings of the majority of the music catalog titles that SONG claims to represent which posters on this forum have been unable to locate to date beyond a few songs.
To start to change this perception all Jake and The_Golden_One need to do is to stop with the endless pumping and start with the basics by showing us all transparently where we and potential customers can even listen to more than a few songs from the music catalog the company claims to represent 

There has to be a reason for all this selling, and I can't be the reason Jake told us directly; that he is selling 3a10 shares which he just triple downed on making that into an ABS... until his $12m per yer is realized in cash in his bank.

I have been an OTC consultant, I have been issued shares, I have got them unrestricted after 2 years, I have deposited those shares at a broker, and I have sold them. Brokers that accept deposits for OTC stock have selling limitations, 20% of the weekly volume any day. So they say "we can sell X today" and you go "do it." Then the average vol starts to move up, you then get higher limits as you personally make the vol higher and sell more and more.

Jake has done this a few times. You will start to see daily vol go from thousands, to tens of thousands, to hundreds of thousands, to millions (where we are now), to tens of millions and maybe even hundreds of millions before another RS.

Every single bid there has ever been has been hit, so why not these..............?

Correct, but remember, he will hide that from anyone he is trying to steal money from he's soliciting for the ABS. All they will see is 5 pubco's, owing the Lux entity $119M, that can be paid back with unlimited free trading shares being sold into the market, with a 2% compounding interest PER MONTH. So the paper value just keeps going up no matter what and artificial paper value will just keep going up even of the money isn't realized.

Same game he played on the fake SONG revenue, just pretend it is real, put it in the filings, then write it off later. But in this case, the number will only get artificially bigger which he can then make value creation without actually receiving anything from the scam shells he is running. Will be a few years before those people catch on if he has no check by authorities.

Not sure I understand the structure but it all appears to be paper money between affiliated companies under common control with few real assets as far as I can see so i will leave it to the market to figure out what this instrument actually means as somehow I doubt it means cash for minority ordinary shareholders or for minority Noteholders
