Latest document in Delaware District Court 1:23-cv743 was filed on July 9, 2025,

Plaintiffs advise the court that they have been unable to effectuate service on HMBL's former auditors, BF Borgers so they are asking the Court to accept alternative means of service which would include the following options:

Publishing the suit (no indication that I see as to what publication the plaintiffs would use)
Serving Borgers by sending a US Mail
Serving Borgers Attorneys
Posting through Social Media (a new one to me). Plaintiffs indicate that courts have accepted Facebook as a means to effect service when other means have failed. In this case, Plaintiffs ask that posting to the Borgers LinkedIn page should be sufficient notice.

OTC stocks mainly raise the AS to accommodate toxic death spiral financing. But it could be for a lot of reasons. It’s really the only currency they have.

Exactly…unless the company files a registration statement before then…if it goes effective the stock will become free trading.

That stock could be for a note conversion, stock issued to an underwriter as part of an underwritten offering, stock issued for services, a private placement, etc.

When you buy stock you buy it from the market through a broker.

We are talking about issuances of “new” stock the company is issuing for some reason.

You can’t call up the TA and say - can I buy stock? They don’t actually hold any, they are simply the mechanism where the new stock is created for any given issuance the company wants to make. That stock could be for a note conversion, stock issued to an underwriter as part of an underwritten offering, stock issued for services, a private placement, etc.

The TA keeps the records on all the stock issuances and who it went to, they make sure all documents required for a legend removal are in order, that the total stock issued at any given time is below the authorized, proxy issuances, shareholder votes, issue stock certificates, and a whole lot more.

Who determines the price that I pay?

The number one volume leader is HMBL, the life changing stock. The beast of all OTC stocks. I salute and am humbled every day.

When a company issues stock it is can only be free trading when it has been registered or has an applicable exemption from registration.

Stock can be “registered” through a number of mechanisms the most common being via an S-1, 1-A and S-8. In the case of the Reg A+ route (form 1-A) it must be “qualified” by the SEC, which is similar to a “Notice of Effectiveness” for an S-1. Once those happen the stock can be made free trading. I will describe the mechanism in a second.

The other way to make stock eligible to be free trading is via an exemption from registration. The most common one is the Rule 144 “Holding Period”. If stock is simply held for a certain period of time the exemption becomes available. In the case of SEC REPORTING companies that period is 6 months. For non-reporting companies it is 1 year.

So how does it happen?

Any stock issued by the company comes from the TA. The TA will automatically attach a restrictive legend. It effectively prevents any broker from facilitating its sale into the market. If there is a valid registration statement (S-1, 1-A, etc.) they won’t. Without that it gets the legend.

If a 1-A later gets qualified, for example, the holder can go through the process of getting the restrictive legend removed.

Same thing for the exemption, if they meet the holding period they can get it removed.

That process requires an opinion letter from a securities attorney and approval of the company. Those two things are what the TA requires to remove the legend. Once it does the stock is free trading.

Sometimes an issuer tokenizes its own security. For example, an operating company or an investment company could tokenize its shares. Alternatively, an unaffiliated third party with custody of securities issued by another entity might, for instance, issue a new tokenized security tied to the securities it holds or may tokenize the “security entitlements” that investors hold against the custodian. Purchasers of these third-party tokens may face unique risks, such as counterparty risks.

Distributors of tokenized securities must consider their disclosure obligations under the federal securities laws and may wish to refer to the Division of Corporation Finance’s recent staff statement on this topic.[1]

Market participants who distribute, purchase, and trade tokenized securities also should consider the nature of these securities and the resulting securities laws implications. For example, depending on the particular facts and circumstances, a token could be a “receipt for a security,” which is itself a security but is distinct from the underlying security held by the distributor of the token. Alternatively, a token that does not provide the holder with legal and beneficial ownership of the underlying security could be a “security-based swap” that cannot be traded off exchange by retail persons. While blockchain-based tokenization is new, the process of issuing an instrument representing a security is not. The same legal requirements apply to on- and off-chain versions of these instruments.

Market participants, as they structure their tokenization product offerings, should consider meeting with the Commission and its staff.[2] When unique aspects of a technology warrant changes to existing rules or where regulatory requirements are outdated or unnecessary, we stand ready to work with market participants to craft appropriate exemptions and modernize rules.

When a company raises their AS and ultimately wants to issue those shares to "the public" what is the process?

The buyers of those shares have a 6 month restriction on selling?

Are they aware that they are restricted from selling for 6 months?

Who keeps track of the shares that are restricted vs. the shares that are 6+ months old and have no restrictions?

Appreciate the education, as always.
