Item 2.03. Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

On January 25, 2024, Liberty Star Uranium & Metals Corp. (the “Company”) entered into a Promissory Note Agreement (the “Note”) with Peter O’Heeron, Chairman, Secretary & Treasurer of the Company. The Note was executed to evidence a $250,000 loan to the Company from Mr. O’Heeron. The Company intends to use the proceeds for payment of on-going exploration expense. The Note bears interest at 10% per annum, compounded annually with principal and interest maturing January 25, 2025, unless further extended by Mr. O’Heeron, or the company chooses to pay earlier.
