( 1)	The Reporting Person is the sole owner, director and officer of Martian Investment Limited, in whose name the shares have been registered.
( 2)	Each share of Series A Convertible Preferred Stock is automatically convertible into 10, 196 shares of common stock upon filing of a certificate of amendment to Certificate of Incorporation of Dionics, Inc. authorizing a sufficient number of authorized but unissued shares of common stock to permit issuance of underlying shares of common stock. There is no expiration date as to the automatic conversion of the shares of Series A Convertible Preferred Stock into common stock.
